  • Overview

    Syncsort is looking for a Finance Director, M&A to align strategic growth by providing M & A strategic financial integrations leadership. You must have strong ERP systems knowledge, accounting and purchase accounting experience.  Syncsort completes between 5-10 acquisitions annually. These acquisitions were financed by cash on hand and debt, enabled by our strong operating cash flow. The Finance Director will provide accounting and finance leadership during key pre and post-acquisition processes.



    Key support activities reporting to the global Controller include:


    Pre-deal Acquisition Support:

    • Facilitate/lead financial due diligence process, with Senior Management,  Director of Tax, under direction Global Controller, external advisors, target representatives
    • Facilitate/lead purchase price allocation process
    • Develop and lead acquisition integration roadmap for finance
    • Support developing financial business model for acquisition candidates and post-acquisition reporting, including annual goodwill impairment testing

    Accounting Support:

    • Support Global Controller in determining purchase price allocation and opening balance sheet
    • Test valuation assumptions (i.e.: Customer relationship assets, completed technology, inventory and fixed asset valuations, in process R&D)
    • Support Global Controller in determining fair value amortization/depreciation schedules
    • Assist in preparing footnote disclosures related to M&A
    • Participate/assist in writing technical white papers related to transactions
    • Ensure proper controls for all acquisitions
    • Primary functional lead on integration of target company to Syncsort back office Accounting and financial solutions
    • Provide support to internal and external auditors
    • Ensure proper integration in monthly close process

    Post-deal Acquisition Support and Integration:

    • Map or integration target company’s trial balance/COA to Consolidated trial balance structure
    • Project leader (Finance) in integrating policies, procedures, reporting to ensure internal reporting, including target companies adoption of policies and procedures
    • Work with Global Controller and Legal department in preparing post deal working capital adjustment calculations
    • Work with CFO and FP& A establishing and maintaining post acquisition performance metrics


    • BS in Finance or Accounting with 8 years’ experience in public accounting or software industry.
    • Technical accounting, CPA
    • You must have strong ERP systems knowledge

    • Accounting and purchase accounting experience.
